1. Acceptance of Terms

By accessing or using the NPLFY platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and NPLFY.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be a resident of the United States of America
  • Not be a resident of any country subject to international sanctions (including but not limited to those on the OFAC list)
  • Comply with all applicable laws and regulations in your jurisdiction

3. Platform Description

NPLFY is a technology platform that enables fractional ownership of tokenized real-world assets through blockchain technology. The Platform facilitates the acquisition and management of digital certificates (NFTs) and NPLFY tokens representing proportional ownership stakes in underlying assets.

NPLFY does not provide financial, investment, legal, or tax advice. The Platform is a technology service and should not be construed as an offer of securities or investment products.

4. Account and Wallet

Access to the Platform requires connection of a compatible Web3 wallet. You are solely responsible for:

  • Maintaining the security of your wallet and private keys
  • All activities that occur through your connected wallet
  • Ensuring your wallet address is accurate for all transactions

NPLFY does not have access to your private keys and cannot recover lost wallets or reverse transactions.

5. Tokenized Assets

Assets listed on the Platform represent opportunities for fractional ownership. Each asset listing includes:

  • Description of the underlying asset
  • Total available portions and pricing
  • Expected maturity period
  • Projected returns (which are estimates and not guarantees)

NPLFY tokens and NFT certificates represent digital proof of your participation and proportional stake. They are not securities, shares, or equity instruments.

6. Risks

By using the Platform, you acknowledge and accept the following risks:

  • Market Risk: The value of your holdings may decrease as well as increase
  • Liquidity Risk: You may not be able to sell or transfer your tokens at your desired time or price
  • Technology Risk: Blockchain technology and smart contracts may contain bugs or vulnerabilities
  • Regulatory Risk: Changes in laws or regulations may affect the Platform or your holdings
  • Asset Risk: The underlying assets may not perform as expected

Past performance is not indicative of future results. You should only participate with funds you can afford to lose.

7. Transactions

All transactions on the Platform are executed on the Polygon blockchain. Transactions are:

  • Final and irreversible once confirmed on the blockchain
  • Subject to network fees (gas fees) paid in MATIC
  • Your sole responsibility to verify before confirmation

NPLFY cannot reverse, cancel, or modify blockchain transactions.

8. Redemption

Upon asset maturity, you may redeem your NPLFY tokens for your proportional share of returns. Redemption is subject to:

  • Successful completion of the asset's investment period
  • Performance of the underlying asset
  • Platform processing time

Actual redemption amounts may differ from projected returns.

9. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose
  • Attempt to manipulate or interfere with the Platform
  • Use automated systems or bots without authorization
  • Provide false or misleading information
  • Violate any applicable laws or regulations
  • Infringe on the rights of others

10. Intellectual Property

All content, trademarks, and intellectual property on the Platform are owned by NPLFY or its licensors. You may not copy, modify, or distribute any Platform content without prior written consent.

11. Limitation of Liability

To the maximum extent permitted by law, NPLFY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your use of the Platform.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. NPLFY does not warrant that the Platform will be uninterrupted, secure, or error-free.

13. Indemnification

You agree to indemnify and hold harmless NPLFY, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.

14. Modifications

NPLFY reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
